Voyages Terms and Conditions These Voyage Terms and Conditions (the “Terms”) apply to all participants of the "Voyages” event held by Transcarent, Inc. (“Transcarent”).
By registering or attending Voyages, you are agreeing to these terms and conditions. If you are registering on behalf of another person or entity, it is your responsibility to ensure that the person or entity attending is aware of these terms and accepts them, and by completing the registration you are warranting that you have made such person or entity aware of these terms and that they have been accepted by such person or entity. For the purpose of these Terms, a “Participant/You/Your” is any individual who attends Voyages in any capacity other than as a representative of Transcarent or the Event Venue.
1. Voyages Admission and Media Rights
A. Admittance. Your registration and payment of fees (if applicable) entitles You to admittance to Voyages.
B. Termination. Participant acknowledges that Transcarent reserves the right to remove them from Voyages if Transcarent, in its sole discretion, considers their presence and/or behavior to: (a) create a disruption or hinder Voyages; (b) negatively impact the enjoyment of Voyages by other attendees or speakers; and/or (c) constitute a breach of the attached Code of Conduct or In-Person Event Attendee Expense Coverage Eligibility Policy.
C. Media. By attending Voyages, Participant acknowledges, consents to, and agrees to grant Transcarent the right to record, film, photograph or capture your likeness in any media now available or hereafter developed (hereinafter “Media”) and to distribute, broadcast, use or otherwise globally to disseminate, in perpetuity, such Media without any further approval from you or any payment to you. This grant to Transcarent includes, but is not limited to, the right to edit such Media, the right to use the Media alone or together with other information, and the right to allow third party partners to use and/or disseminate the Media.
D. Right to Change Event Content. Participant understands and agrees that Transcarent, in its sole discretion, reserves the right to modify, at any time, any and all aspects of Voyages, including but not limited to, the “Voyages” name, themes, itinerary, content, program, speakers, performers, hosts, moderators, venue, policies, dates, and times.
2. Fee(s) and Cancellation
A. In-Person Event Attendee Expense Coverage Eligibility Policy. The attached In-Person Event Attendee Expense Coverage Eligibility Policy (the “Policy”) sets forth what costs Transcarent is offering to pay for Speakers and Invited Client Guests. If you have any questions as to whether You are a part of either class of individuals covered under the Policy, please contact your Transcarent representative and Transcarent’s event coordination staff will make a determination.
B. Payment. If applicable, the payment of the registration fees (the “Fees”) for Voyages is due upon registration. If such payment is insufficient or declined for any reason, Transcarent may refuse to admit you to Voyages and hereby waives all liability in that regard.
C. Taxes. The Fee(s) may be subject to sales tax or any other taxes and duties which, if applicable, will be charged to You in addition to the Fee(s).
D. Cancellation. After registering for Voyages, if You cancel Your attendance You will not be eligible for any refund; however, substitutions (subject to availability) may be arranged at the sole discretion of Transcarent. For the avoidance of doubt, any attendee removed by Transcarent pursuant to Section 1(B) of these Terms shall not be eligible for any refund.
3. Intellectual property
A. All intellectual property rights in and to Voyages, Voyages content, the Media and all materials distributed at or in connection with the Voyages are owned by Transcarent, and/or the Voyages sponsors or speakers presenting at the Voyages. You may not use or reproduce or allow anyone to use or reproduce any intellectual property, including, without limitation, trademarks or other trade names appearing at Voyages, in any Voyages Media, Voyages content and/or in any materials distributed at or in connection with Voyages for any reason without the prior written permission of Transcarent.
B. For the avoidance of doubt, Transcarent is not licensing, or granting any rights to any intellectual property owned/licensed by Transcarent, the Event Sponsors, speakers, or other Participants, to You through these Terms.
4. Warranties and Limitation of Liability
A. Disclaimer of Warranties. Transcarent gives no warranties in respect of any aspect of Voyages, or any materials related thereto or offered at Voyages and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness and merchantability. Transcarent waives any responsibility or liability for reliance by You on any information provided outside these Terms.
B. Limitation of Liability. Transcarent shall not be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Voyages or other aspect related thereto or in connection with these Terms. The maximum aggregate liability of Transcarent for any claim brought by Participant or a third-party on Participant’s behalf whether in contract, tort or otherwise (including any negligent act or omission) shall be limited to the greater of: (a) the Fees paid or payable to Transcarent under these Terms or (b) one-hundred dollars ($100.00).
5. Governing law and jurisdiction
A. This Agreement shall be governed by the laws of the State of Delaware and the parties shall submit to the exclusive jurisdiction of the Delaware courts.
Voyages Code of Conduct
Transcarent expects all Voyages participants to uphold the principles of this Voyages Code of Conduct. This Code of Conduct applies to all aspects of Voyages and any related activities, whether digital or in person. Transcarent does not tolerate the following in any aspect of Voyages program, including business and social activities:
A. Behavior that is disruptive, disrespectful, or degrading to others, including any messages, images, or interactions by anyone, in any form, regardless of location.
B. Harassment or discrimination based on age, ancestry, color, gender identity or expression, national origin, physical or mental disability, religion, sexual orientation, or any other characteristic protected by applicable local laws, regulations, and ordinances.
C. Transcarent’s facilities and amenities are designed to create a safe environment for all Voyages participants. We ask that you respect and cooperate with safety instructions from staff and vendors throughout the Voyages. You must respect all Voyages, venue, and Transcarent rules regarding the consumption of alcohol and other substances. To the extent that alcohol is permitted or provided at the venue, and you choose to consume alcohol, we ask that you do so responsibly and in a way that does not endanger your safety or the safety of others. Some venues are shared with members of the public; please be respectful to all patrons of these locations.
DISCLAIMER: THIS IS NOT AN ALL-INCLUSIVE LIST OF BEHAVIORS THAT COULD VIOLATE TRANSCARENT’S CODE OF CONDUCT. TRANSCARENT RESERVES THE RIGHT UNDER THE TERMS TO REMOVE ANY PARTICIPANT OR SPEAKER FROM VOYAGES AT TRANSCARENT’S SOLE DISCRETION.
Transcarent encourages everyone to assist in creating a welcoming and safe environment. Please report any concerns, harassing behavior, or suspicious or disruptive activity to venue staff, the Voyages host or owner, or the nearest Voyages staff.
In-Person Event Attendee Expense Coverage Eligibility Policy
Policy: Transcarent offers coverage of expenses for certain attendees at Company-sponsored events. Attendees who are eligible for coverage of expenses must follow the requirements set forth in this Policy.
The following categories of attendee are eligible for reimbursement or coverage of expenses based on the following:

All speakers requesting reimbursement must submit itemized, dated receipts showing method of payment for all expenses for which reimbursement is being requested. Transcarent reserves the right to review all reimbursement requests and adjust amounts in accordance with this Policy.
When booking travel, Transcarent expects that speakers will exercise discretion and good business judgement with respect to expenses.
